SEC review of OKXICE tokenized equities venue application

TBA November 2026, date TBC
Online Location
OKB · USDC · USDT OKXICE TSV (OKX / Intercontinental Exchange)

⚠ The date is not confirmed yet and may change.

The U.S. Securities and Exchange Commission is reviewing the first tokenized securities venue application, submitted by OKXICE TSV, a joint venture of OKX and Intercontinental Exchange. The review window is tentatively placed in November 2026, and the date has not been confirmed; the venue's trading would be settled against the stablecoins USDC and USDT, alongside OKX's ecosystem token OKB.

What is happening

OKXICE TSV, the joint venture of the exchange OKX and Intercontinental Exchange Holdings (the parent company of the New York Stock Exchange), has applied to operate as a tokenized securities venue. The category was created last month under an SEC "innovation exemption," which grants such venues a five-year temporary exemption from the definition of "exchange" in the Securities Exchange Act of 1934 and gives their liquidity providers an exemption from the definition of "dealer."

The application lists more than 60 companies whose shares OKXICE wants to tokenize and offer for 24/7 trading. The list mixes traditional names such as Apple, Amazon, Microsoft, Nvidia, Tesla and Walmart with crypto-sector firms including Coinbase, Circle, BitGo and Robinhood. Each tokenized share would be paired with a stablecoin (USDC, USDT or USDG) and traded on XLayer, an Ethereum layer-2 network launched by OKX. Approved customers would receive a non-transferable soulbound token verified before every trade, after KYC, KYB, AML and sanctions checks.

The tokenized shares are described as non-synthetic: each is backed one-for-one by underlying shares held in custody by a broker-dealer and carries the same rights as the real stock, including dividends and voting. Listed companies have 30 days to prohibit trading in their tokenized shares, and Cerebras Systems has already filed a notice of issuer objection.

Why it matters

As the first application of its kind, the OKXICE filing is an early test of how the SEC's tokenized securities framework works in practice. The issuer opt-out right is central to that test: objections such as Cerebras' show that companies can block tokenization of their shares by third-party platforms, which may shape which stocks end up available on the venue.

For holders and traders of OKB, USDC and USDT, the outcome bears on whether regulated, stablecoin-settled trading of U.S. equities on XLayer becomes possible. The IMF notes that the tokenized equity market remains small at about $2.3 billion, with low liquidity, and that over half of activity occurs outside regular U.S. market hours, suggesting demand for round-the-clock access. Platforms such as Robinhood have also raised concerns about the framework's volume and asset-type limits.
